Formation of Committees

 

 


The Audit and Risk Committee is made up of three members of the Board of Directors, as far as possible, all of them independent, and is in charge of verifying with the control authorities and the company's fiscal auditor that the Administration complies with the accounting procedures in accordance with the framework current regulations, the analysis of the Statutory Auditor's recommendations in relation to the Financial Statements and the review of the Company's Control Architecture.

The Corporate Governance, Sustainability and Human Talent Committee will be made up of at least three (3) members of the Board of Directors, one of whom must be independent, and is in charge of proposing and supervising compliance with corporate governance measures and the sustainability approach adopted in the Company. Likewise, the purpose of this Committee is to guarantee that the talent management of TGI S.A. ESP is framed within corporate policies and that the compensation system allows the Company to have the people it needs to meet its strategic objectives, with a view to implementing the best organizational development practices and generating value for the Company and its shareholders.

The Financial and Investment Committee is made up of at least three members of the Board of Directors, one of whom must be independent as long as there are members of this quality in the composition of the Board, and is in charge of monitoring financial management of the Company, analyze new business opportunities, and redefine existing investments to make specialized recommendations to the Board of Directors on such matters.

 


The Operating and Sustainability Committee is made up of at least three members of the Board of Directors, at least one of whom must be independent as long as there are members of this quality in the composition of the Board, and is in charge of planning, monitoring and analysis of all issues related to operational aspects of TGI. Among the issues included in the operation of TGI are: regulation and energy policy, commercial affairs, project management for the construction of new infrastructure, and operation and maintenance activities of existing infrastructure.
